TREES APP TERMS OF SERVICE

1. Eligibility and Account

You must be at least 18 years old and legally able to enter contracts in your jurisdiction, and register for an account to use the Service.

By using the Service, you represent and warrant to us that: (a) the information you give us is accurate and current; (b) you are not located in, and are not ordinarily resident in, a country or territory subject to comprehensive US, UK, or EU sanctions or embargo, and you are not a person with whom we are prohibited from dealing under applicable sanctions laws; and (c) your use of the Service complies with the laws of your jurisdiction, the terms of your internet service provider, and any other agreement that applies to your internet connection. We may refuse, suspend, or terminate access, and withhold or reverse rewards, to comply with sanctions, export-control, or other legal obligations.

You are responsible for maintaining the confidentiality of your account login information and are fully responsible for all activities that occur under your account. You agree to immediately notify us of any unauthorized use, or suspected unauthorized use of your account or any other breach of security.

You may not create an account for another person or transfer, sell, or share your account.

2. Changes to Terms

We may revise these Terms at any time. Material changes will be announced in-app or by email at least 30 days before they take effect. Continued use after the effective date means you accept the revisions. If you do not accept them, stop using the Service.

3. How Bandwidth Sharing Works - Please read this section carefully.

Trees App lets you earn rewards by sharing a portion of your device's unused internet bandwidth, and funds tree planting through our reforestation partners based on qualifying bandwidth-sharing activity.

When you enable bandwidth sharing, your device becomes a node in a proxy network. This means your internet connection and your IP address are used to route internet traffic for our business customers, and destination websites and services see your IP address as the origin of that traffic instead of the customer's own address. We on-sell the bandwidth you share to our affiliate Proxidize Ltd, which resells access to customers for uses such as market research, price comparison, and search-engine-results monitoring. We do not sell or disclose your name or identity to those customers as part of routing their traffic, and we do not monitor, inspect, or log the content of your own personal internet use. Please read our Privacy Policy to learn more about how we process your personal data.

Bandwidth sharing begins only after you choose to enable it. By enabling bandwidth sharing, you expressly authorize Trees App, its service providers, affiliates, and customers to use your device, internet connection, and public IP address to route third-party internet traffic as described above. This authorization remains in effect only while bandwidth sharing is enabled. You may revoke it at any time by disabling bandwidth sharing in the application or uninstalling it, with no penalty and no lock-in.

4. Risks and Safeguards

We use customer verification, contractual restrictions, technical controls, request logging, blocking, and abuse-response procedures designed to prevent and address misuse. No control is perfect, and we cannot guarantee that every third-party request will be lawful, authorized, or harmless.

Because third-party traffic exits through your public IP address, an internet service provider, website, security vendor, complainant, or public authority may initially associate that traffic with your connection. This could result in security challenges, blocked access, abuse notices, service-provider inquiries, or requests for information. We will reasonably cooperate with you to clarify that identified traffic was routed through the Service, subject to applicable law, security needs, and the rights of others.

You are not responsible for the content or purpose of third-party traffic solely because we routed it through your connection. This does not limit responsibility for your own conduct, your unauthorized installation of the Service, or your knowing participation in misuse.

The Service consumes data and may affect bandwidth availability, data caps, internet or mobile charges, battery use, device temperature, performance, and access to some websites or services. Your rewards may be lower than your related electricity, data, hardware, tax, or other costs. Use an unmetered connection unless you understand and accept the applicable charges and limits.

Some internet service providers, landlords, employers, schools, or network operators restrict commercial bandwidth sharing, proxy use, or unusually high data use. You must review and comply with the terms that apply to your connection and obtain any required permission.

5. Intellectual Property and License Grant

All software, text, graphics, and other content made available through the Service are owned by Trees App or its licensors and are protected by intellectual property laws. Except for the limited license below, no rights in the Services or their content are granted to you.

We grant you a limited, non-exclusive, revocable, non-transferable license to download, install, and use the Trees App software on devices you own or control, subject to these Terms. You may run the Service on more than one device you own or control under a single account. You may not install or use the software on any device you do not own or control, and you may not sublicense, resell, or transfer this license.

If you choose to provide comments, ideas or suggestions regarding the Services or proposed modifications or improvements to them (“Feedback”), you grant Trees App a perpetual, irrevocable, worldwide, royalty-free, transferable and sublicensable licence to use, reproduce, modify and otherwise exploit the Feedback for any purpose without restriction, attribution or compensation to you.

6. User Obligations

You represent and agree that:

• you own or lawfully control each device on which you install the Service and are authorized to use the applicable internet connection for bandwidth sharing;
• you will not install or enable the Service on a device or network belonging to an employer, school, library, customer, public authority, landlord, or another person without express authorization;
• you will not use VPNs, virtual machines, emulators, device farms, manipulated connections, duplicate accounts, automated tools, or other methods to misrepresent your location, identity, device, traffic, or eligibility;
• you will not interfere with routing, measurements, security controls, logs, payout calculations, destination restrictions, or customer verification;
• you will not reverse engineer, decompile, bypass, scrape, copy, resell, sublicense, introduce malware into, or otherwise disrupt the Service;
• you will not use the Service for fraud, sanctions evasion, money laundering, tax evasion, unauthorized access, infringement, harassment, or any other illegal or abusive activity; and
• you will promptly provide information reasonably requested to investigate fraud, security issues, legal compliance, or account ownership.

7. Earnings, Payments, Tree Planting, and Taxes

Trees Research Inc. may credit your account with rewards based on eligible bandwidth-sharing activity and the activity metrics and rates shown in-app. Rewards are first-party compensation paid by Trees Research Inc. for bandwidth you provide; they are not payments transmitted from or on behalf of a Proxidize customer. Changes to rates or activity metrics apply prospectively.

Minimum withdrawal thresholds, payout methods, fees, and verification requirements are shown in-app and may change in accordance with Section 2. Withdrawal fees may be applied to rewards as further described in the app.

Rewards remain subject to validation and may be withheld, corrected, reversed, or forfeited for errors, fraud, invalid activity, sanctions or export restrictions, manipulation, or violations of these Terms. Rewards and account balances are personal and non-transferable.

Based on qualifying bandwidth-sharing activity, Trees Research Inc. funds tree planting through third-party reforestation partners. The applicable calculation method, eligibility criteria, timing, partner information, and other program details will be shown in-app. We may modify or discontinue the program prospectively. Changes will not affect tree planting already confirmed in-app, except where necessary to correct an error, address fraud or invalid activity, or comply with law.

You are responsible for any taxes on payments you receive. You must provide any identity or tax information reasonably requested for verification, reporting, or payout purposes. Trees Research Inc. may withhold or report amounts where required by law.

8. Referral Program

We may offer referral programs, promotions, or other incentives from time to time. The applicable conditions and requirements will be displayed in the Service.

Referral rewards are based on genuine eligible activity and may not be earned through self-referrals, misleading statements, spam, bots, purchased accounts, or other manipulation. When promoting a referral link, you must clearly disclose that you may receive a benefit and comply with applicable advertising and platform rules.

We may verify eligibility, correct errors, and withhold or reverse rewards attributable to fraud, invalid activity, or a violation of the applicable rules or these Terms. We may modify or end a promotion at any time, provided that any modification or termination will not affect rewards already validly earned, except where necessary to correct an error, address fraud or invalid activity, or comply with applicable law.

9. Third-Party Links and Services

The Service may contain links to third-party websites or integrate with third-party tools and services. We do not endorse, control, or assume responsibility for any third-party content, products, or services. Your use of third-party services is governed by their own terms and policies.

10. Termination

By You. You may stop bandwidth sharing at any time and may request account deletion through the application or by contacting [email protected]. Stopping sharing does not automatically delete your account or erase records that Trees App must retain.

By Trees App. We may restrict, suspend, or terminate access where reasonably necessary to address fraud, abuse, security threats, legal or sanctions requirements, inaccurate verification information, a material breach of these Terms, or material risk to Trees App, users, customers, or third parties. Where appropriate and lawful, we will provide you with a notice.

We may modify or discontinue all or part of the Service. If we permanently discontinue the earning Service, we will provide reasonable notice where practicable and a reasonable opportunity to withdraw validated rewards, subject to the normal minimum thresholds, verification, applicable fees, and law.

On termination, your license ends and you must stop using the Service. Provisions that by their nature should survive will survive, including provisions concerning validated payment obligations, ownership, privacy and retained records, disclaimers, liability, disputes, and general terms.

11. Force Majeure

Neither party shall be in breach of these Terms or otherwise liable for any failure or delay in performing its obligations to the extent that such failure or delay results from events, circumstances, or causes beyond its reasonable control. The time for performance of such obligations shall be extended accordingly. If the period of delay or non-performance continues for three (3) months, the party not affected may terminate these Terms by giving thirty (30) days’ written notice to the affected party. This clause does not apply to any payment obligations under these Terms.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, TREES APP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE OPERATION OR THAT THE SERVICE WILL MEET YOUR REQUIREMENTS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TREES APP, OUR AFFILIATES, AND SUPPLIERS ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU EARNED THROUGH THE SERVICE IN THE SIX MONTHS PRECEDING THE CLAIM OR (B) FIFTY US DOLLARS (USD 50).

THE FOREGOING LIMITATIONS ARE ESSENTIAL TO THESE TERMS, AND WE WOULD NOT OFFER THE SERVICE TO YOU UNDER THESE TERMS WITHOUT THESE LIMITATIONS.

14. Indemnification

You agree to defend, indemnify, and hold harmless Trees App and our officers, directors, employees, and agents from and against any third-party claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from or relating to: (1) your misuse of, or unauthorized access to, the Services; and (2) your breach of these Terms or of any applicable law or regulation.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware and applicable US federal law, without regard to conflict-of-laws principles. You and Trees Research Inc. agree to the exclusive jurisdiction of the state and federal courts located in the State of Delaware for any dispute, except where mandatory law provides otherwise. Before litigation, the parties will attempt to settle disputes through good-faith negotiation.

16. Consumer Rights

If you are a consumer (meaning a natural person using the Services wholly or mainly for purposes outside your trade, business, craft or profession) residing in the EEA, Switzerland or UK, this section applies to you. If this section conflicts with another provision of these Terms, this section controls.

Nothing in these Terms affects any rights or remedies available to you under applicable consumer-protection laws that cannot lawfully be excluded, limited or waived.

Any disclaimer of warranties or exclusion, indemnification, limitation or cap on liability contained in these Terms applies to you only to the fullest extent permitted by applicable law. Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, willful misconduct or gross negligence, breach of any mandatory statutory obligation, or any other liability that cannot lawfully be excluded or limited.

Section 15 of these Terms does not deprive you of the protection of the mandatory provisions of the law of your country of residence, and you may bring or defend proceedings before the courts of that country.

17. Export Controls

You may not use or export the Service in violation of United States or other applicable export control laws.

18. Severability

If any provision of these Terms is held unlawful or unenforceable, the remaining provisions remain in full force.

19. Assignment

You may not assign or transfer these Terms or your account. Trees App may assign these Terms at its discretion.

20. Entire Agreement

These Terms, together with the Privacy Policy and any in-app guidelines, constitute the entire agreement between you and Trees App and supersede all prior agreements.
